We reserve the right to decline any project, content, or instruction that is unlawful, offensive, defamatory, technically infeasible, outside our capabilities, or otherwise inconsistent with our professional standards.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for the provision of services;
- Ensure that all materials supplied to us, including scripts, recordings, music, logos, trademarks, reference files, and other content, are lawful and do not infringe the rights of any third party;
- Obtain all necessary permissions, consents, licences, and releases for any content you provide or request us to use;
- Review and approve all drafts, edits, mixes, masters, and final deliverables promptly;
- Notify us in writing of any errors, concerns, or requested changes within a reasonable time;
- Use the services and deliverables only in accordance with applicable laws and these Terms;
- Not use our services to create or distribute illegal, harmful, misleading, abusive, infringing, or defamatory content.
You are responsible for the accuracy of all scripts, pronunciations, timing notes, creative direction, and technical specifications you provide. Where you fail to provide clear instructions, we may use reasonable professional judgement, and any resulting work will be deemed acceptable unless otherwise agreed in writing.
You acknowledge that audio production often involves subjective decisions. Unless otherwise agreed, our creative and technical decisions shall be final for the relevant stage of the project, subject to any agreed revision process.
4. Payment Terms and Conditions
All fees, charges, and payment terms will be stated in the applicable quotation, invoice, or statement of work. Unless otherwise agreed in writing:
- Quotes may be subject to change if project scope, deadlines, or requirements change;
- Invoices are payable in full by the due date stated on the invoice;
- We may require a deposit, upfront payment, or milestone payments before commencing or continuing work;
- Work may be paused or withheld if any payment is overdue;
- Any bank, card processing, transfer, currency conversion, or international transaction fees are your responsibility unless we agree otherwise.
All prices are stated in pounds sterling unless otherwise specified and may be exclusive of applicable taxes. Where taxes are chargeable, they will be added at the applicable rate.
Late payments may result in suspension of services, withholding of deliverables, cancellation of bookings, and/or the charging of reasonable interest and recovery costs to the extent permitted by applicable law.
We may require payment in advance for urgent bookings, out-of-hours work, rush delivery, or projects involving third-party talent, studio time, or specialist equipment.
5. Cancellation and Refund Policy
Cancellations must be made in writing to [email protected]. The refund position will depend on the stage of the project and any costs already incurred.
- If you cancel before work has begun, we may refund amounts paid less any non-refundable booking fees, administrative charges, or third-party costs already incurred;
- If cancellation occurs after work has started, you must pay for work performed, time reserved, materials purchased, and any committed third-party costs;
- Deposits may be non-refundable where they secure studio time, talent, or scheduling commitments;
- Once final deliverables have been approved, delivered, or used, refunds will not normally be available;
- No refund will be due for dissatisfaction arising from changes in your brief, failure to provide information, delays caused by you, or subjective preferences where agreed specifications have been met.
We may cancel or reschedule a booking where necessary due to illness, equipment failure, safety concerns, or circumstances beyond our reasonable control. In such cases, we will use reasonable efforts to reschedule or provide a refund for unused prepaid amounts, as appropriate.
Any request for a chargeback or payment reversal without first engaging with our support process may be treated as a breach of these Terms.
6. Liability Limitations
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded under applicable law.
Subject to the above, Northbridge Audio Production Studio Ltd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, revenue, business, opportunity, goodwill, or anticipated savings;
- Loss, corruption, or unauthorised access to data unless caused by our proven negligence;
- Delays caused by you, third parties, suppliers, artists, platforms, or technical failures outside our reasonable control;
- Any issues arising from your misuse, modification, distribution, or publication of deliverables after delivery.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with any project or services shall be limited to the amount paid by you to Northbridge Audio Production Studio Ltd for the specific services giving rise to the claim.
You are responsible for backing up all files, materials, and deliverables you receive from us. We are not responsible for maintaining archives unless expressly agreed in writing.
7. Intellectual Property Rights
As between you and us, all pre-existing intellectual property, including our workflows, methods, templates, software configurations, processes, know-how, and any materials created by us before or outside the scope of your project, remain the property of Northbridge Audio Production Studio Ltd or its licensors.
Subject to full payment of all sums due, and unless otherwise agreed in writing:
- You will receive the licence or ownership rights expressly stated in the quotation or invoice;
- If no transfer of ownership is specified, we grant you a non-exclusive, non-transferable licence to use the final deliverables for the purpose agreed in writing;
- Drafts, raw files, session files, project files, stems, and source materials remain our property unless we agree in writing to provide them or transfer rights in them;
- You may not resell, sub-license, or exploit deliverables beyond the agreed scope without our prior written consent.
You warrant that any materials you supply do not infringe third-party rights and that you have all necessary permissions to use them. You agree to indemnify Northbridge Audio Production Studio Ltd against claims, losses, liabilities, and expenses arising from a breach of this warranty.
Unless otherwise agreed in writing, we may retain the right to display non-confidential excerpts of completed work in our portfolio, showreel, website, social media, or promotional materials, provided such use does not disclose confidential information or violate agreed restrictions.
8. Data Protection and Privacy
We process personal data in accordance with applicable data protection laws. We may collect and use personal data such as names, contact details, billing information, project files, voice recordings, and communications to provide, manage, and improve our services, to issue invoices, to respond to enquiries, and to comply with legal obligations.
Where we process personal data on your behalf in connection with a project, you are responsible for ensuring that you have the lawful basis and necessary notices, consents, and permissions to provide that data to us. You acknowledge that audio work may involve the processing of recordings containing personal data, including voice data.

We are not liable for unauthorised access arising from circumstances beyond our reasonable control, provided we have taken appropriate measures in accordance with applicable law.

9. Force Majeure
Northbridge Audio Production Studio Ltd shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events beyond our reasonable control, including but not limited to:

- Equipment breakdown or studio inaccessibility;
- Industrial action, labour disputes, or supplier failure;
- War, terrorism, civil unrest, epidemic, pandemic, or public emergency;

Where a force majeure event occurs, we will use reasonable efforts to minimise disruption and resume performance as soon as reasonably practicable. If the event continues for an extended period, either party may have the right to terminate the affected project on written notice, subject to payment for work performed and costs incurred up to the termination date.

11. Applicable Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory legal rights available to consumers or other protected parties under applicable law.

13. Severability Clause
